The following terms and conditions have been established to clarify ethical and proper business practices expected by Upstate Precast, LLC.

Customers (No Credit Account) – Payment expected prior to production of custom product(s) and prior to delivery of stock product(s).

Customers (Credit Account) – In consideration of extension of credit, payments are expected in full on the designated due date, in accordance with payment terms stated on the invoice. Claims arising from invoices must be made within seven working days of customer’s receipt of invoice. Customer is responsible for paying all finance charges accruing on late payments and for reimbursing Upstate Precast for all costs and expenses, including reasonable attorney fees, when customer fails to pay within a timely manner. Purchases made on credit are in connection with business, commerical, and/or industrial transactions and are not for personal, family, household, or agricultural purposes or uses. Extended credit shall be “trade credit” as used in 12 C.F.R. § 1002.9.

Quotes – Upstate Precast will guarantee quoted prices for product(s) for a period of thirty days from the date of quote. Revisions and/or structure information submitted after acceptance of quote may cause structures impacted to be subject to a requoting process. Any structure requiring DOT RFID tag and review is subject to additional fees. Jobs still in progress after twelve months from quote acceptance (booked date) are subject to escalation rates. Deliveries may be subject to a fuel surcharge based on current fuel prices. Any increases or changes will be given a fifteen day notice prior to implementation.

Inclusions – Delivery to project site (a delivery address is required at the time of quote). Deliveries are based on full truckload quantities, standard equipment and normal operating business hours. Request for deliveries using LTL loads, non-standard equipment or non-standard delivery windows may incur additional fees. Estimated state, local sales or use taxes are based on current tax rates and the project location. Taxes can vary based on the delivery location. External joint wrap for all sanitary sewer manholes are included. Additional external joint wrap will be charged at current rates. Joint sealant for all structures. Boots required for all sanitary manhole parts. Internal Upstate Precast standard submittal drawings. Proposals accepted at less than full quoted quantities may be subject to requoting/repricing.

Exclusions – Unloading, setting or installing any components unless specifically noted. Any structure where invert or top elevations were not provided on the plans. Any items not specifically called out in this proposal, including but not limited to castings, trash racks, ballast/sump concrete and/or baffle walls. Trash racks are priced per verbiage and standard designs available from manufacturer only. Specification drawings will be provided upon request. Proposal values do not include structural design services, drawings and/or calculations unless specifically noted in the proposal. External or internal concrete coating or mix additives unless identified in product descriptions. Extended bases are not included on any structure, unless specifically called out. Outside joint wrap is not included with storm structures. Sealing of all pipe penetrations are responsibility of on-site contractor.

Frames and Covers – Frames and covers will be delivered to the job site or customer’s storage yard when included in quote. Due to market volatility, Upstate Precast will not guarantee delivery dates of frame and covers by suppliers. Upstate Precast will be held harmless by the customer if delivery dates impact project schedule(s). Pricing is subject to change based on escalation from suppliers and is only guaranteed for thirty days.

Submittals – Shop drawings (when required) are provided after job acceptance and/or purchase order is received and confirmed. Authorization to proceed is also required or will be implied by receipt of purchase order. Customer will provide all necessary information including hardware and documentation for submittal process to be completed. If revisions are needed based on plan and/or customer changes, additional engineering charges may apply. Revisions may also require requoting and altering the production timeframe.

Conditions – Freight includes one hour per truck for unloading product. Additional on-site time in excess of one hour will be charged at $150 per hour. Customer is responsible for providing safe and sufficient access for tractor trailer delivery. Product will be invoiced upon delivery. Product not accepted for delivery within thirty days of agreed upon delivery date will be invoiced in full and customer agrees to pay monthly storage fees as they accrue. Unless otherwise specified and subject to credit approval, payment for materials and storage furnished under this contract and/or agreement are due in thirty days, unless agreed upon terms are different, after receipt by customer, without retention. Prepaid orders can be paid by cash, check, debit/credit card or ACH (subject to a processing fee not to exceed 4%). Material prices are extremely volatile in the current economic environment.
